Mergers & Acquisitions Associate

A law firm seeks a skilled Mergers & Acquisitions (M&A) Associate to join its growing team in Canton, Ohio. This is an exciting opportunity for an experienced attorney to take on a broad range of responsibilities in M&A and corporate transactions, with a focus on contract negotiation, entity formation, and post-deal integration. Duties

• Draft, negotiate, and review contracts in connection with mergers, acquisitions, and business transactions.
• Provide counsel on M&A matters and corporate governance issues.
• Advise clients on entity selection, creation, and restructuring for optimal business performance.
• Assist in the due diligence process for mergers and acquisitions, ensuring all necessary investigations and compliance steps are met.
• Contribute to post-deal integration and support clients in transitioning through changes.
• Maintain a strong understanding of applicable laws and regulations, ensuring compliance in all transactions.
• Structure and prepare documentation for commercial and finance-related transactions.

Requirements

• At least 5 years of experience in a law firm or corporate in-house legal department, specializing in mergers and acquisitions, commercial transactions, or similar fields.
• Demonstrated interest in growing a long-term practice and business development.
• Experience or background in business law, tax, commercial transactions, lending, finance, or accounting is preferred.
• Proven ability to manage and prioritize multiple complex projects.
• Strong analytical skills and the ability to assess legal risks and opportunities.
• Ability to work both independently and as part of a collaborative team.
• Proficiency in drafting, legal research, and effective communication skills.
• Ability to interact with clients, attorneys, and staff successfully.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Must be licensed or eligible to obtain a license to practice law in the State of Ohio.
