Job Overview

A law firm seeks a highly skilled transactions attorney for a Partner-level position in Bethesda, MD. The role involves leading complex corporate and commercial real estate transactions, with a focus on tax, entity structure, and deal mechanics. The successful candidate will have the opportunity to shape the firm's transactions practice and develop client relationships across various sectors.

Duties

  • Lead and manage complex corporate and commercial real estate transactions from term sheet through closing.
  • Advise on and negotiate entity formation, governance documents, and operating agreements.
  • Structure and document joint venture arrangements across various deal types.
  • Counsel clients on public-private partnership transactions.
  • Integrate tax planning into transaction structures.
  • Originate and sustain client relationships in business, real estate, and nonprofit sectors.
  • Supervise and mentor associate attorneys and paralegals.
  • Contribute to firm management and strategic planning.

Requirements

  • J.D. from an accredited law school; strong academic credentials.
  • Active bar admission in Maryland or ability to become a Maryland attorney within one year.
  • Minimum 10 years of experience in business and/or commercial real estate transactions.
  • Expertise in corporate entity law and transactional documentation.
  • Experience structuring and documenting joint venture transactions.
  • Knowledge of public-private partnership structures and tax considerations.
  • Proven track record of managing deals independently.
  • Established client relationships and business development capability.

Education

  • J.D. from an accredited law school.

Certifications

  • Active bar admission in Maryland.

Skills

  • Strong negotiation and relationship management skills.
  • Ability to integrate tax planning into transactions.
  • Proficiency in structuring joint ventures and public-private partnerships.
