Job Overview

A law firm seeks a highly motivated mid-level associate to counsel in Boulder, CO, to join its nationally recognized Tax practice. The role focuses on renewable energy transactions and federal tax credit monetization structures, offering the opportunity to work on sophisticated transactions involving wind, solar, battery storage, and other energy transition assets.

Duties

  • Advise clients on federal income tax aspects of renewable energy transactions, including ITC/PTC qualification, structuring, and compliance.
  • Counsel sponsors, investors, and lenders on tax credit transferability, direct pay, and credit monetization strategies.
  • Analyze and apply complex provisions of the Internal Revenue Code and Treasury Regulations.
  • Draft and negotiate transaction documents, including various agreements related to tax credits and investments.
  • Advise tax equity investors and project development lenders on state and local taxes applicable to renewable energy projects.
  • Provide guidance on M&A transactions.

Requirements

  • JD from an accredited law school with strong academic credentials.
  • 5+ years of relevant tax experience at a law firm.
  • Experience with renewable energy tax credits and complex transactional tax matters.
  • Familiarity with ITCs/PTCs and current IRS guidance.
  • Experience drafting and negotiating transaction documents.
  • Strong analytical and technical tax expertise.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple transactions and work effectively under deadlines.
  • Collaborative mindset and strong client-service orientation.
  • Admission to practice law in the jurisdiction of the office of residence (or eligibility to waive in).

Education

  • JD from an accredited law school.

Certifications

  • Admission to practice law in the relevant jurisdiction.
