Corporate Associate - Business Combinations and Capital Transactions

Job Overview

A law firm seeks a Corporate Associate for its Business Combinations and Capital Transactions Practice Group in Indianapolis, Indiana. The successful candidate will join a dynamic team, engaging in sophisticated transactions and developing client relationships.

Duties

• Manage and coordinate M&A due diligence, identifying issues and providing business-focused advice.
• Draft and negotiate purchase agreements and related transaction documents.
• Collaborate with partners, clients, opposing counsel, and internal specialists.
• Advise on risk allocation issues, including indemnities and representation and warranty insurance.
• Oversee signing and closing processes, including checklists and post-closing matters.

Requirements

• 3-5 years of experience in M&A and general corporate transactions.
• Experience representing clients on both buy-side and sell-side matters.
• Strong academic credentials and excellent communication skills.
• Indiana bar admission or eligibility to waive in.

Education

• Juris Doctor (JD) degree.

Certifications

• Admission to the Indiana State Bar.
