Job Overview

A law firm seeks a Corporate Attorney for Emerging Growth Companies in Baltimore, MD. This role involves working with emerging growth companies and institutional investors, focusing on venture capital financings, M&A transactions, and corporate governance matters.

Duties

• Communicate effectively with partners, clients, and staff.
• Produce deliverables and respond to correspondence promptly.
• Analyze complex legal issues and apply legal principles.
• Provide accurate and well-reasoned work product.
• Ensure timely delivery of services, including outside business hours.
• Participate in meetings and travel as required.
• Mentor and supervise junior lawyers and staff.

Requirements

• 5-8 years of experience in emerging growth and venture capital.
• Experience with AmLaw 100 law firms preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Experience in preferred stock, bridge, and SAFE financings.
• Ability to manage due diligence on M&A transactions.
• Experience advising on corporate governance matters.

Education

• Juris Doctor (JD)

Certifications

• Bar admission in relevant jurisdiction
