Job Overview

A law firm seeks a mid-level associate with 4-6 years of experience to join its Technology Transactions practice in San Francisco, CA. The ideal candidate will have significant experience advising clients on technology-focused commercial transactions, including drafting, reviewing, and negotiating agreements related to technology and intellectual property.

Duties

  • Draft and negotiate complex technology and intellectual property agreements, including SaaS, cloud services, licensing, and development agreements.
  • Advise on technology and IP aspects of M&A, private equity, and venture capital transactions, including due diligence and IP structuring.
  • Support strategic partnerships, joint ventures, and platform/infrastructure agreements for technology-driven businesses.
  • Counsel clients on data use, ownership, and commercialization strategies, including proprietary data and platform integrations.
  • Collaborate with corporate, IP, privacy, and regulatory teams on multidisciplinary matters.

Requirements

  • 4-6 years of relevant experience in technology transactions at a major law firm.
  • Strong experience drafting and negotiating technology, licensing, and commercial agreements.
  • Experience supporting technology-related aspects of M&A and other strategic transactions.
  • Excellent academic credentials and strong written and oral communication skills.
  • Active bar membership in California (or ability to obtain admission).

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active bar membership in California (or ability to obtain admission).
