A law firm seeks a skilled Banking and Finance Associate Attorney to join its transactional department in Dallas, TX. Job Overview

  • Location: Dallas, TX
  • Experience: 1+ year in commercial lending, secured loans, and finance transactions.

Duties

  • Draft, negotiate, and close first-lien, second-lien, unsecured, and syndicated credit transactions.
  • Provide strategic advice on asset-based lending, equipment lending, cash-flow lending, and commercial/multifamily real estate finance.
  • Manage and review corporate transaction documents, including due diligence and disclosure items.
  • Develop best practices for securing and perfecting security interests.
  • Produce high-quality work within strict deadlines.
  • Participate in and manage various projects as assigned.

Requirements

  • J.D. from an ABA-accredited law school, licensed to practice in Texas.
  • Minimum of 1 year of experience in commercial lending, secured loans, or finance transactions.
  • Prior experience representing banks or private lenders is preferred.
  • Familiarity with financial/accounting issues related to fixed-income debt is a plus.
  • Experience with convertible promissory notes or similar securities is a plus.
  • Strong attention to detail, organizational skills, and ability to work under pressure.

Education

  • J.D. from an accredited law school.
  • Additional qualifications or coursework in corporate transactions, commercial lending, or real estate finance are a plus.

Certifications

  • Licensed to practice law in the state of Texas (or eligible for admission).

Skills

  • Strong analytical and problem-solving abilities.
  • High level of proficiency with MS Office Suite and legal research tools.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively and independently in a fast-paced environment.
