Job Overview

A law firm seeks a mid-level Intellectual Property Associate in Boston, MA. This role focuses on complex commercial agreements and counseling for technology and IP-driven businesses. The position offers the chance to work with partners and gain client exposure on sophisticated deals, combining transactional work with strategic IP counseling.

Duties

  • Draft and negotiate commercial agreements, including software and SaaS agreements, master services, and professional services agreements.
  • Advise on IP risk allocation in commercial transactions, including ownership, licensing, and use of technology and proprietary materials.
  • Support clients in the commercialization of technology-enabled products and services.
  • Assist with IP-related advisory work, including trademark clearance, prosecution, and enforcement strategy.
  • Conduct copyright and content-use analysis, including media clearance and fair use.

Requirements

  • Approximately 3-5 years of relevant experience.
  • Experience with technology transactions and IP licensing.
  • Experience with trademark and/or broader IP counseling.
  • Strong drafting, issue-spotting, and negotiation skills.
  • Ability to manage multiple matters and work directly with partners and clients.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Admitted to practice law in the state of Massachusetts.
