Job Overview
A law firm seeks a Leveraged Finance Associate in Fredericksburg, VA. The firm offers a dynamic practice representing financial institutions, private equity sponsors, borrowers, and private credit lenders, providing exposure to a wide range of deal activities.

Duties

  • Represent borrowers, banks, and private credit lenders in commercial senior secured financings.
  • Advise on acquisition finance and private equity-backed transactions.
  • Draft and negotiate credit agreements, security agreements, guaranty agreements, and related documentation.
  • Handle project financings and mezzanine debt issuances.
  • Counsel clients on distressed credit situations and restructuring matters.
  • Advise on UCC Article 9 matters.
  • Collaborate with senior attorneys to deliver comprehensive counsel to clients.
  • Contribute to business development and client relationship management.

Requirements

  • 3-5 years of experience in leveraged finance transactions at a law firm or financial institution.
  • Experience representing both lenders and borrowers in various financing matters.
  • Familiarity with acquisition finance, private equity-backed transactions, and private credit.
  • Experience with credit agreements, security agreements, guaranty agreements, and UCC Article 9.
  • Excellent academic credentials and strong writing and drafting skills.
  • Licensed to practice law in Virginia, or eligible for admission in Virginia.
  • General corporate law experience is a plus but not required.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Licensed to practice law in Virginia.
