Corporate Associate Attorney

Job Overview

A law firm seeks a highly motivated Corporate Associate Attorney with a minimum of 2 years of corporate transactional experience to join their team in Toledo, OH. The candidate will engage in mergers and acquisitions, strategic transactions, corporate governance, and a broad range of general corporate matters.

Duties

• Provide strategic legal counsel on complex transactional matters, including corporate transactions and governance.
• Draft, review, and negotiate critical documents throughout corporate transactions.
• Manage deal and closing due diligence for M&A transactions and other corporate matters.

Requirements

• Juris Doctor degree from an ABA accredited law school.
• Admitted to Ohio bar or eligible for admission.
• Minimum of 2 years of corporate experience with proficiency in drafting and negotiating complex contracts.
• Experience with M&A transactions, corporate formation, and regulatory compliance.
• Exceptional legal research, writing, and analytical skills.
• Ability to manage multiple complex projects and meet deadlines.
• Strong attention to detail and ability to collaborate with diverse teams.

Education

• Juris Doctor degree from an ABA accredited law school.

Certifications

• Admitted to Ohio bar or eligible for admission.
