Job Overview:
A prestigious law firm is seeking associate attorneys with 2 to 6 years of experience to join its market-leading Debt Finance Practice Group. This role involves advising clients on complex financing transactions, including acquisition financings, leveraged loans, and restructurings. The practice is highly focused on representing private equity sponsors and corporate borrowers in structuring and negotiating a wide range of debt instruments.

Location:

  • Los Angeles, CA

Duties:

  • Structure, negotiate, and document secured and unsecured financing transactions

  • Represent borrowers and lenders in senior secured, mezzanine, and subordinated debt arrangements

  • Advise on acquisition financings, leveraged buyouts, and refinancing transactions

  • Draft and review credit agreements, security agreements, and intercreditor arrangements

  • Handle loan workouts, amendments, and restructuring transactions

  • Collaborate with deal teams across practice areas to close complex transactions

  • Provide legal counsel on market trends and financing strategies to private equity clients and corporate borrowers

Requirements:

  • 2 to 6 years of experience in debt finance or a related transactional practice

  • Demonstrated experience with leveraged finance transactions preferred

  • Prior work involving mergers and acquisitions is a strong plus

  • Experience representing either borrowers or lenders in a law firm or in-house environment

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Strong academic credentials required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Excellent drafting and negotiation abilities

  • Strong understanding of commercial lending structures and financing documentation

  • Ability to manage multiple matters simultaneously under tight deadlines

  • Client-service orientation with effective communication and problem-solving skills

  • Team-player mindset with an ability to work collaboratively across disciplines
