Multiple leading law firms across the United States — including Am Law private equity groups, elite corporate boutiques, and mid-market deal firms — are actively seeking Private Equity / M&A Attorneys with 1–10+ years of experience.
Private equity deal volume remains exceptionally strong, and firms are expanding their transactional teams to support sponsor-side M&A, portfolio company work, and complex cross-border transactions.

If you have experience in private equity or M&A matters, including:

  • Private equity buyouts and minority investments

  • Sell-side and buy-side M&A

  • Portfolio company governance and operational support

  • Joint ventures and strategic transactions

  • Equity financing, recapitalizations, and growth transactions

  • Deal negotiations, due diligence, and closing work

Duties

  • Represent private equity sponsors and portfolio companies in buyouts, investments, and M&A transactions.

  • Draft, review, and negotiate purchase agreements, merger documents, equity agreements, and ancillary deal documents.

  • Handle corporate governance, operational matters, and ongoing portfolio company advisory work.

  • Conduct due diligence and support transaction structuring and execution.

  • Manage joint ventures, recapitalizations, and other strategic transactions.

  • Work closely with partners, investors, and deal teams to move transactions efficiently from LOI through closing.

Requirements

  • 1–10+ years of private equity or corporate M&A experience.

  • Strong drafting, negotiation, and transactional judgment.

  • Ability to manage fast-paced deal flow and coordinate with multiple stakeholders.

  • Experience representing sponsors, portfolio companies, or strategic buyers/sellers.

  • Juris Doctor (JD) from an accredited law school.

  • Admission to the bar in at least one U.S. jurisdiction.

  • A current deal sheet will typically be requested.

Skills

  • Excellent drafting, negotiation, and issue-spotting skills.

  • Strong communication with sponsor clients, investors, and executives.

  • Ability to manage multiple active deals simultaneously.

  • Detail-oriented, analytical, and highly organized.

  • Team-oriented and comfortable in high-pressure, fast-moving transactional environments.
