Job Overview:
A leading law firm seeks an associate to join its Debt Finance practice in Houston. This role involves advising private equity sponsors and corporate borrowers on complex leveraged transactions, restructurings, and syndicated financings. The successful candidate will manage deal elements from initial structuring through documentation, negotiation, and closing.

Location:

  • Houston, TX

Duties:

  • Structure, draft, and negotiate secured and unsecured financing transactions

  • Represent both borrowers and lenders in senior secured, mezzanine, and subordinated debt matters

  • Advise on acquisition financings, leveraged buyouts, and recapitalizations

  • Handle loan workouts, amendments, and restructuring matters

  • Prepare and review credit agreements, security documents, and intercreditor agreements

  • Coordinate closings and post-closing deliverables with deal teams and counterparties

Requirements:

  • 3–6 years of debt finance or banking and finance law experience

  • Demonstrated experience with leveraged finance transactions, particularly in M&A contexts

  • Proven ability to manage multiple complex transactions simultaneously

  • Prior work with private equity clients or corporate borrowers preferred

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic record

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Advanced drafting and negotiation capabilities

  • Commercial understanding of lending markets and capital structures

  • Exceptional organizational and time-management skills

  • Strong interpersonal and client-service orientation

  • Ability to work independently and collaboratively under tight deadlines
