Corporate Attorney

Madison office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate attorney with 5-10 years of experience. The candidate will counsel emerging company startups on a variety of early-stage issues, including founder issues, funding strategy, and employment and consulting matters. Will maintain knowledge of market terms for venture capital transactions. Prepare and negotiate Series AA through Series D investment-related agreements and documents, including working with NVCA, Series Seed, and SAFE document sets. Maintain detailed knowledge of Regulation D and market terms in angel and venture capital transactions. Advise companies regarding corporate governance and fiduciary duty-related matters. Prepare shareholder agreements, employment and consulting agreements, equity grant agreements, noncompetition, confidentiality, and invention assignment agreements. Prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company, including working knowledge of market terms in small and middle market Mergers and Acquisitions. Prepare, review, and edit company sale waterfall spreadsheets. Maintain working knowledge of tax, intellectual property, employment, privacy, and related matters that arise in Mergers and Acquisitions. Prepare, negotiate, and edit distribution, manufacturing, and supply agreements. Should have 3-4 years of corporate finance experience, plus a demonstrated interest in one or more of the following industries: healthcare IT, life sciences, medical devices, software, and fintech. Must be well versed in venture capital financings and has direct experience working with privately held companies.

The candidate must be creative, thorough, motivated, a good communicator, and a team player. Excellent contract drafting and negotiating skills are essential.
