Job Overview: A law firm is seeking a highly motivated Block-Chain Associate Attorney to join their Santa Monica, CA office. The ideal candidate will bring a deep understanding and passion for blockchain technology, with experience advising blockchain companies through various stages of growth. This role involves assisting clients with venture capital financings, token issuances, corporate structuring, DAO (Decentralized Autonomous Organization) formation, and navigating an evolving regulatory landscape. The candidate will also handle general venture capital and tech company corporate transactions.

Key Responsibilities:

  • Advise blockchain companies on venture capital financings, token issuances, and corporate structuring.
  • Provide counsel to clients on DAO formation and blockchain governance matters.
  • Assist clients with compliance and regulatory issues in an evolving legal framework.
  • Conduct legal due diligence and draft legal documents for venture capital transactions.
  • Guide startups and emerging companies on corporate formation, financing, and strategic growth.
  • Handle general corporate transactions for venture-backed companies and technology clients.
  • Collaborate with internal teams to provide cross-disciplinary support, including intellectual property and litigation departments.
  • Maintain up-to-date knowledge of blockchain technology, cryptocurrencies, and related regulations.
  • Engage in client-facing communications, providing clear and actionable legal advice.

Requirements:

  • 2-4 years of experience in a major law firm in Emerging Companies Venture Capital and/or Blockchain/Crypto law.
  • Demonstrated experience in advising blockchain companies through various stages of corporate development.
  • Strong understanding of venture capital financings, corporate governance, token issuance, and the regulatory landscape for blockchain technologies.
  • Exceptional verbal and written communication skills.
  • Superior interpersonal skills, with the ability to build and maintain client relationships.
  • Self-motivated, highly organized, and detail-oriented with strong project management skills.
  • Membership in the State Bar of California.

Education & Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the California State Bar is required.

Skills:

  • Deep knowledge of blockchain technology, cryptocurrencies, and decentralized finance (DeFi).
  • Proficiency in venture capital financings, corporate structuring, and emerging company transactions.
  • Ability to navigate complex regulatory frameworks related to blockchain and crypto assets.
  • Strong legal research and analytical skills.
  • Ability to work independently and as part of a cross-functional team.
  • Client-focused approach with a strong sense of ownership and accountability.
