Capital Markets/Securities Associate Attorney

Charlotte office of a BCG Attorney Search Top Ranked Law Firm seeks capital markets/securities associate attorney with 2-4 years of experience at a large law firm with a sophisticated capital markets/securities practice. The candidate will serve as an important member of firm's Capital Markets/Securities team, working with senior leadership of the firms public and private issuer clients as well as investor clients on a wide range of securities offerings and compliance matters. Will work on capital markets transactions, securities regulation issues, corporate governance and general business matters. Must preferably have experience including advising clients in capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt, convertible debt, offerings of equity, PIPE transactions, ATM offerings, initial public offerings, private placements and liability management transactions. Helpful experience will also include advising and assisting public companies on regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports and NYSE and Nasdaq rules.

The candidate should have excellent academic record and strong communication skills.
