Englewood office of our client seeks corporate counsel with experience. The candidate will be understanding the business and legal issues faced by our clients and the industry within which they operate. Will be rendering a broad range of valuable strategic and tactical corporate counsel in the areas of entity and transaction structuring, corporate governance, strategic planning, and commercial and employment contracts. Leading business transactions for the clients including financing, successions, and business combinations. Drafting, reviewing, negotiating and advising on various corporate documents, including operating agreements, shareholder agreements, profit interest unit grant agreements, employment agreements, corporate contracts such as leases and vendor services contracts, letters of intent, non-disclosure agreements, restrictive covenant agreements, merger agreements, stock purchase agreements, asset purchase agreements, escrow agreements, disclosure schedules and closing binders. Serving as a resource for decisions in the areas of intellectual property, tax, and commercial disputes. Forming business entities, advising on and preparing necessary foreign qualification documents and liaising with the service bureau and registered agent. Adhering to deadlines and project plans in a fast-paced environment. Maintaining and growing existing client relationships. Participating, substantively, in new business consultations and new program development initiatives; and maintaining an advanced knowledge of industry current events and ongoing developments. Must have significant experience with drafting, reviewing, negotiating and advising on business organizational documents, a broad range of corporate and commercial documents, and various types of business combination transactions. Knowledge of the securities industry and the investment advisory practice preferred. Should be Member of New Jersey Bar.
The candidate should be highly skilled in verbal and written communication among sophisticated clients. Must have excellent drafting skills. Ability to multi-task and work efficiently is essential. Should have strong academic accomplishments at a leading law school. Strong computer skills and an intuitive comfort within a technology-driven environment; and commitment to do what needs to be done to meet the needs and expectations of clients and colleagues.
