New York City office of our client seeks mid-level private funds corporate associate attorney with 5-9 years of experience. The candidate will focus on private fund formation and investment adviser regulation, including private equity, venture, hedge, and managed accounts. Will draft certificates, resolutions, and other documents for LLC, LP, and other entity formation. Draft term sheets, private offering memoranda, limited partnership agreements, limited liability company operating agreements, and subscription agreements. Legal research and analysis under the Investment Advisers Act and other statutes and rules affecting private funds practice. Prepare and drive project management checklists. Prepare and advise w/r/t adviser compliance programs. Must have familiarity with market terms and practices and relevant tax concepts. Experience preparing and filing Form ADV, Form D, and related regulatory filings is essential. Must be admitted to practice law in the State of New York.

Must have ability to communicate effectively in English orally and in writing; ability to organize and prioritize workload; ability to understand and follow written and oral directions; knowledge of Microsoft Office, Outlook, WORD, Excel, and Adobe Acrobat.
