Corporate and Finance M&A Associate Attorney

The candidate must have in-depth experience in drafting and negotiating purchase agreements and other transaction documents relating to acquisitions of privately held companies; overseeing due diligence investigations of acquisition targets, and interacting effectively with sophisticated client management teams. Experience in working with technology and life sciences companies is also desirable. Must be familiar with the application of federal securities laws to M&A transactions and with Delaware jurisprudence relating to directors responsibilities in the M&A area. A strong work ethic and comfort working and interacting with large deal teams on complex transactions are required. Associates at this level are expected to be prepared to devote substantial time to continuing to develop their transactional M&A skills and expertise and to train junior M&A associates. A strong desire and ability to integrate into a collegial team environment are critical.
