Ability to walk clients through their business model and the types of customer/client information they collect and how they use it, before drafting their privacy policy. Data breach prevention and response strategy. Terms of Service for websites. Joint Development/IP ownership agreements - drafting and review. License Agreements - drafting and review. Intellectual property due diligence in M&A transactions. Intellectual property transfer/assignment documents in corporate reorganizations and deals - drafting and review Commercial contracts - drafting and review. Master Service agreements; creating or modifying standards for companies. Reviewing contracts received by the clients, determining acceptance or modifications (focusing mainly on ownership of the intellectual property developed under the contract and indemnification).
