Houston office of a BCG Attorney Search Top Ranked Law Firm seeks a mid- to senior-level commercial transaction attorney preferably with a broad experience representing: a diverse range of clients in industries including financial services, agribusiness, bioscience, technology, software and hardware development, manufacturing, oil field technology and services, real estate (investment, construction, and development), healthcare and medical technology; private companies (substantial experience with family-held companies a plus) in a broad spectrum of corporate transactions, including restructurings, private placements and mergers and acquisitions; and entrepreneurs, start-ups, emerging technology companies, and investors. The candidate must have substantial experience in and/or knowledge of: drafting, reviewing, and negotiating various kinds of business-related agreements; drafting, reviewing, and negotiating various kinds of technology-related agreements; formation and organization of Texas and Delaware corporations and other legal entities; corporate experience and expertise, including structuring entity formation and transactions to meet client needs; structuring corporate succession and executive incentive plans, including buy-sell agreements/provisions, phantom stock, profit sharing, etc.; protection of intellectual property; representation of companies and individuals in capital markets transactions (those seeking investment via private equity, venture capital and angel investment transactions); representation of companies and individuals seeking debt funding from financial institutions and other sources for investment and operational purposes; complex transactions; drafting of private placement memoranda; and securities experience and expertise, Federal and State Law securities law, regulations and exemptions related to private securities issuance and sales transactions.

The candidate must have a working knowledge of blockchain technology and of cryptocurrency. Knowledge of tax issues common to acquisitions and sales of businesses is a plus. Must be able to comfortably navigate complex structured deals. Should be able to manage a transaction through to close with clear communication and troubleshooting as required.
