Greenwich office of a BCG Attorney Search Top Ranked Law Firm seeks general corporate associate (M&A, Investment Management) attorney with 5+ years of experience in a law firm's Corporate group. The candidate will serve the full range of corporate, M&A and investment advisory work. Will support the existing team in research assignments, investment reviews, due diligence, and drafting and negotiation of a wide range of agreements and documents, including: share and asset purchase agreements (and related transaction documents and schedules), shareholders' agreements, organizational documents for corporations, limited liability companies and partnerships, fund-related documents and other commercial agreements. Produce polished first drafts of a suite of documents and help in the delivery of an entity formation or restructuring, M&A or investment transaction. Work on multi-national corporate transactions advising corporate, family office and individual clients on disposals, acquisitions and investments and day-to-day corporate matters. Must have exposure to complex corporate transactions, including M&A, joint ventures, investments, financings and corporate restructuring. Should have experience with fund formation, and the execution of fund investments. Experience conducting due diligence review in connection with various corporate and securities transactions needed. Should have experience reviewing and drafting a wide variety of commercial contracts.

The candidate should have strong academic credentials. Must have strong drafting, writing and communication skills. Should have ability to work directly with business owners and investors. Must have strong project management and leadership ability. Should have strong ability to balance a large number of competing priorities. Must be team player.
