Mid-Level Corporate, Mergers and Acquisitions Associate Attorney

Menlo Park office of a BCG Attorney Search Top Ranked Law Firm seeks mid-level corporate, mergers and acquisitions associate attorney with 3+ years of experience. The ideal candidate must have in-depth experience in: drafting and negotiating purchase agreements and other transaction documents relating to acquisitions of publicly traded and privately held companies; overseeing due diligence investigations of acquisition targets; preparing acquisition-related proxy statements, tender offer documents and information statements; and organizing closings of complex mergers and acquisitions transactions. Should be familiar with the application of the federal securities laws to mergers and acquisitions transactions and with Delaware jurisprudence relating to directors' responsibilities in the M&A area. Experience in working with technology and life sciences companies is also desirable. Should also be prepared to devote substantial time to continuing to develop their transactional M&A skills and expertise and to training junior M&A associates.

The candidate should have a strong work ethic and be comfortable working and interacting with large deal teams on complex transactions. Must also have outstanding writing and analytical skills, top academic credentials and a commitment to excellence.
