Charlotte office of a BCG Attorney Search Top Ranked Law Firm seeks a junior to mid-level executive compensation associate attorney with 2-4 years of corporate and securities experience in a large regional or national firm. The candidate will work on all aspects of executive and director compensation, such as equity plans, cash incentive plans, employment agreements, severance agreements, change in control arrangements, deferred compensation arrangements, and other compensation plans/agreements for clients of all sizes and structures, including the Public Company Advisory Team (PCAT) public company clients. Will develop expertise regarding the many legal and related aspects of that impact compensation matters, such as corporate laws, tax laws, securities laws, and other rules and guidance (e.g. of stock exchanges, proxy advisory firms). Advise clients regarding 1933 Act and 1934 Act matters that impact public company compensation arrangements, such as proxy statements, Section 16 reports and analysis, Form 8-K reports, Form S-8 registration statements/prospectuses, and other matters. Advise clients regarding corporate governance matters and cross-border compensation matters. Provide guidance in M&A transactions from a compensation perspective, such as advising buyers and sellers regarding the treatment of equity awards in transactions, incentive bonus plans, employment agreements, performing diligence in transactions, and other matters. Must be licensed to practice law in NC or have the ability to become licensed as soon as possible.
