New York City office of an AmLaw firm seeks mergers and acquisitions financial advisory associate attorney with 5+ years of experience. The candidate will be working in a collegial environment, handling challenging transactions, together with leading practitioners within the group and multidisciplinary teams within the Firms global network of international offices and practice groups. Will be serving a broad range of communication, logistical and analytical tasks coordinating and managing the various steps of a project, understanding and distilling transactional aspects, and liaising with clients and stakeholders. Advise leading investment banks on domestic and cross-border mergers and acquisitions transactions. Prepare and/or review a variety of documents, including engagement letters, fairness opinions, board presentations, dealer manager agreements, merger agreements, purchase and sale agreements, proxy statement disclosures and similar mergers and acquisitions transaction-related documents. Coordinate internal and external resources in the various competence areas necessary in domestic and cross-border transactions. Support the planning, execution and completion of mergers and acquisitions transactions with a focus on a quality and effectiveness. Must have familiarity in providing legal advice to investment banking clients on mergers and acquisitions financial advisory matters. Working knowledge of securities laws and experience with proxy statements and disclosure processes (including SEC review processes) for US public and private companies is essential. Familiarity with market developments and relevant case law is needed. Must be admitted to the NY Bar and in good standing.

The candidate should have excellent oral and written communication skills. Strong organizational skills and composure and an ability to manage multiple workstreams and communication channels are needed. Should be personable with strong communication skills and ability to interact with clients and build and maintain strong relationships with in-house counsel. Diligent work ethic and strong organizational skills with ability to frontline assignments and handle multiple tasks often within tight deadlines are needed. Solid writing skills and attention to detail are essential. Good judgment and effective negotiating skills are needed. Must be responsive, committed and enthusiastic team player. General computer system and database skills, including Word, Excel and PowerPoint are needed.
