Corporate Finance Associate

Job Overview:
A reputable law firm is seeking a Corporate Finance Associate Attorney with 2 to 6 years of experience to support its growing commercial finance practice. The successful candidate will represent a diverse client base-including both borrowers and lenders-in a variety of middle-market financing transactions. This role involves negotiating and documenting complex financial arrangements and advising on secured transactions under the Uniform Commercial Code. 

Location:

• Albany, NY

Duties:

• Represent borrowers and lenders in middle-market commercial lending transactions

• Advise clients on secured transactions, including UCC compliance

• Handle structuring and documentation of:

  • Term loans

  • Letters of credit

  • Acquisition financing

• Draft and negotiate equipment leasing and finance agreements

• Manage cross-border transactions involving secured and unsecured credit facilities

Requirements:

• 2 to 6 years of experience in commercial finance transactions

• Demonstrated ability to manage complex deals from start to finish

• Strong transactional and negotiation skills

• Ability to collaborate effectively across legal practice areas

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Active bar membership in good standing in New York or eligibility to waive in

Skills:

• Proficiency in drafting and negotiating finance-related legal documents

• Deep understanding of the Uniform Commercial Code and other relevant laws

• Excellent written and verbal communication skills

• Strong analytical and research abilities

• Detail-oriented with effective organizational and time management skills

• Team-oriented with a client-focused approach
