Houston office of a BCG Attorney Search Top Ranked Law Firm seeks a transactional attorney with 3+ years of transactional experience working in a law firm environment. The candidate will work with both senior partners as well as administrative staff in an effort to effectively serve the clients. Work closely with and provide leadership to administrative staff concerning client billing, client meetings, and invoicing, as well as finalizing client projects. Provide legal counsel to clients by analyzing their needs and determining a proper course of action. Oversee paralegals, law clerks, and administrative staff. Complete legal research and prepare motions, pleadings, and briefs. Prepare various legal documents, such as motions, pleadings, briefs, and correspondence. Diligently manage a caseload, client meetings, billables, and finalized projects. Draft and review contracts such as indemnities, warranties, and representations. Assist clients with entity formation by creating structure and organizational charts and determining appropriate members, managers, and shareholders. Mitigate potential issues with roles and responsibilities within an organization. Draft shareholder agreements, operating agreements, incentive share agreements, bylaws, and partnership agreements. Negotiate purchase and sale agreements as buyer's or seller's counsel. Must currently be a member of the Texas Bar Association, preferably with active membership.

The candidate must have graduated from a law school with a Juris Doctorate. A Tax LLM is required. TBLS certification is a plus. Advanced computer skills working with legal research programs (Westlaw and Lexis) are required. Case Management software knowledge is preferred.
