New York City office of an AmLaw firm seeks executive compensation/employee benefits attorney with 7-8 years of experience. The candidate should have substantive experience in executive compensation and employee benefits considerations in the context of mergers, acquisitions, and divestitures, including in the private equity and distressed transactions arenas. Should preferably have substantial experience in managing transaction-related matters. Should preferably have deep understanding and experience regarding Sections 409A, 457A, 280G, 83 and 162(m) of the Internal Revenue Code and have substantial experience drafting and negotiating individual compensation arrangements (equity/phantom equity/incentive compensation), both from the employer and employee/management team perspective. ERISA Title I and qualified plan experience are a plus.

The principal law office is located in New York. Additional offices are based in Midtown New York, Los Angeles and Miami. A results-driven group of attorneys comprise the firm.
