Mid-Level Business And Transactions Associate Attorney

Annapolis office of a BCG Attorney Search Top Ranked Law Firm seeks mid-level business and transactions associate attorney 3-7 years of relevant experience in sophisticated mergers and acquisitions, commercial contracting, and general corporate governance needs. The candidate will be working on mergers and acquisitions independently and alongside a deal team. Will include diligence, drafting and negotiating transaction documents, coordinating closings, and managing consultants and specialists. Consulting on clients general corporate needs such as mergers, reorganizations, commercial transactions, entity formation, and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions. Some experience leading a deal team is preferred. Securities, cybersecurity, real estate, and/or tax experience are a plus. Should be admitted to practice in or eligible for prompt admission into the applicable offices State Bar.

The candidate must have outstanding negotiation and communication skills, with sharp attention to detail, and work well as part of a collaborative team.
