A law firm seeks a dedicated and experienced Private Funds Associate to join its Asset Management Group in New York. This role involves advising clients on the creation, structuring, and management of private investment funds. The attorney will be responsible for drafting and negotiating key documents, ensuring regulatory compliance, and offering ongoing legal guidance to fund managers and investors. This position provides an opportunity to work on sophisticated matters in a collaborative environment.

Duties

  • Counsel clients on the design and structuring of private investment funds.
  • Draft and negotiate key fund documents, including limited partnership agreements, private placement memoranda, subscription agreements, and side letters.
  • Ensure compliance with securities regulations and other applicable laws.
  • Provide ongoing legal advice and support to fund managers and investors.
  • Conduct due diligence and review legal documentation for investments.
  • Assist clients with fund marketing and relations with investors.
  • Advise on fund restructurings and secondary transactions.
  • Stay informed on evolving laws and regulations impacting private funds.
  • Collaborate with internal teams and external clients to deliver comprehensive legal solutions.

Requirements

  • 3 to 6 years of experience in private investment funds practice at a reputable national or global law firm.
  • Expertise in securities laws and fund regulatory compliance.
  • Proven skills in drafting and negotiating fund formation documents.
  • Strong ability to manage multiple, deadline-driven projects independently.
  • Excellent analytical, problem-solving, and decision-making skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the bar in the relevant jurisdiction.
