Madison office of our client seeks corporate and mergers and acquisitions attorney with 5+ years of transactional experience. The candidate will prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company. Will maintain working knowledge of market terms in small and middle market mergers and acquisitions. Maintain working knowledge of tax, intellectual property, employment, privacy, and related matters that arise in mergers and acquisitions. Maintain a basic understanding of HSR requirements, patent prosecution and enforcement, employment laws, and FDA approval processes for medical devices and therapeutics. Advise companies regarding corporate governance and fiduciary duty related matters. Prepare, review, and edit company sale waterfall spreadsheets. Prepare shareholder agreements, employment and consulting agreements, equity grant agreements, and noncompetition, confidentiality and invention assignment agreements. Prepare and negotiate Series AA through Series D investment-related agreements. Maintain working knowledge of Regulation D and market terms in angel and venture capital transactions. Prepare, negotiate, and edit distribution, manufacturing, and supply agreements. Prepare background memos, articles, and blog posts on issues faced by emerging companies. Develop content for automated forms and systems. Attract and maintain great relationships with emerging company clients. Should preferably have experience in one or more of the following industries: Healthcare IT, life sciences, medical devices, software, and fintech.
The candidate should preferably be creative, thorough, motivated, good communicators, and team-players.
