Minneapolis office of our client, a Chambers ranked law firm, is actively seeking finance associate attorney with 3-5 years of experience representing lenders and borrowers in sophisticated commercial finance transactions, including secured and unsecured financings, middle market deals, asset based lending, mezzanine finance, mortgage warehouse lending, real estate and construction loan financing, private equity transactions, and M&A finance. The candidate will draft primary and ancillary documents; review and negotiate a variety of commercial finance loan documentation (including credit agreements, security agreements note purchase agreements, subordination agreements, guarantees, intercreditor agreements, and other ancillary corporate documentation); and deliver such documents in an efficient manner. Will review draft documents and comments from opposing counsel. Serve as primary point person for opposing counsel on ancillary matters and overall transaction status. Create and manage closing checklists, monitor deal progress, and update deal team and clients on status and deadlines. Coordinate closings and review closing books. Participate in business development events and initiate client contact for non-work events. Identify and analyze legal issues and raise relevant issues to attorneys and clients while providing guidance, advice and counsel. Prepare and maintain transaction checklists. Create and update forms and template documents. Communicate with attorneys, staff and clients on transaction status, documentation needs, legal issues and more. Explain legal options to clients and bring possible outcomes or issues to their attention. Respond effectively to questions and requests of clients and attorneys. Build relationships with clients, attorneys and staff based on trust. Execute and develop strategies to resolve matters favorably, efficiently and cost-effectively for clients. Perform other duties to ensure that clients receive the best and most cost-effective legal solutions. Commercial finance and/or commercial real estate finance legal experience is required. Up-to-date understanding of legal issues affecting commercial lenders and borrowers is needed. Significant experience drafting, analyzing and negotiating complex documents is essential. Knowledge of finance law issues including the UCC is a must. Should be licensed to practice law in at least one state.

The candidate should have a Juris Doctorate degree. Exceptional attention to detail is required. Excellent contract drafting skills are needed. Ability to manage multiple, unrelated projects simultaneously is essential. Strong analytical and organizational skills are a must. Sound judgment, including the ability to identify and escalate issues, is a prerequisite. Should have excellent oral and written communication skills. Should also have ability to prioritize, multi-task and meet deadlines.
