A law firm in Richmond is seeking an M&A and Energy Transactional Associate Attorney with 3-7 years of experience in corporate transactions, focusing on mergers and acquisitions (M&A). The ideal candidate will have experience in the energy industry, including power, renewable energy, oil, and gas. The role requires familiarity with project finance, infrastructure development, construction contracts, and/or tax equity transactions. The successful candidate will possess strong interpersonal and oral communication skills, and have the ability to interact with and advise legal and business teams from deal inception through closing. A strong academic record and excellent writing and drafting skills are essential, with preference given to candidates licensed to practice in Virginia.

Duties and Responsibilities:

  • Represent clients in M&A transactions, including drafting and negotiating key transaction documents.
  • Advise clients on energy-related transactions, including power, renewable energy, oil, and gas.
  • Manage and support corporate transactions from inception through closing, including project finance, infrastructure development, construction contracts, and tax equity transactions.
  • Collaborate with legal and business teams to ensure successful deal execution.
  • Conduct due diligence and prepare legal opinions related to M&A and energy transactions.
  • Provide strategic advice on transaction structures, risk management, and regulatory compliance.
  • Develop and maintain client relationships, offering high-quality service and advice.
  • Stay updated on developments in M&A, energy law, and related industries.

Requirements:

  • 3-7 years of experience in corporate transactions, with significant experience in M&A.
  • Experience in the energy industry, including power, renewable energy, oil, and gas preferred.
  • Familiarity with project finance, infrastructure development, construction contracts, and/or tax equity transactions.
  • Strong interpersonal and oral communication skills.
  • Ability to interact with and advise legal and business teams throughout the transaction process.
  • Strong academic record with excellent writing and drafting skills.
  • Licensed to practice in Virginia preferred.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the Virginia Bar preferred.

  • Proficient in drafting and negotiating key transaction documents.
