Houston office of a BCG Attorney Search Top Ranked Law Firm seeks a transactional attorney with 3+ years of relevant experience. The candidate will develop strategies for handling legal issues in creative, business-centric ways and engineer processes that address gravity and risk and allow the business flexibility and freedom to move quickly for clients. Will draft and negotiate a wide range of transaction agreements, including M&A purchase and sale agreements and all ancillary agreements, joint venture agreements, real estate purchase and sale agreements and leases, minority equity investment agreements, and license agreements. Create and form legal entities. Draft partnership agreements, operating agreements, and employer/employee contracts. Offer legal advice on matters of employment, fiscal responsibilities, and transactions. Offer legal counsel to businesses on general compliance matters and complete legal research on behalf of the client. Experience in commercial transactions and drafting/negotiating agreements and documents is required. Experience in the following areas is strongly preferred: commercial transactions, corporate governance, private equity transactions, mergers and acquisitions, real estate, general corporate law, and finance. Must be licensed to practice law in one or more states, including Texas.

The candidate must have a Bachelor's degree and a J.D. degree from an ABA-accredited school. The ability to take initiative to identify and analyze problems, generate alternative solutions, and make recommendations is needed. The ability to think strategically and make connections and spot issues when reviewing information from several different sources and in different contexts is needed. Effective interpersonal, oral, and written communication skills are a must. Should have a willingness to work on matters outside his or her base of prior experience and continue growing as an attorney and business advisor. Must be a quick learner with a high degree of common sense and resourcefulness, and the ability to work independently and prioritize multiple time-sensitive tasks. Excellent analytical, problem-solving, negotiation, drafting, and communication skills are essential.
