Capital Markets and Corporate Compliance Associate Attorney

New York City office of a BCG Attorney Search Top Ranked Law Firm seeks capital markets and corporate compliance associate attorney with 4+ years of experience representing investment banks, hedge funds, private investment firms, and public companies. The candidate will primarily support the Capital Markets and Corporate Compliance Practice Group. Will work closely with firm partners and clients on a wide variety of matters, providing a great opportunity for professional growth. Should have experience representing public companies, investment banks, hedge funds and private investors in a variety of capital markets transactions, including initial public offerings, fully marketed and alternative or hybrid follow-on public securities offerings (including registered-direct offerings and confidentially marketed or wall-cross public offerings), overnight or bought deals, at-the-market offerings (ATMs), public and privately placed equity-line of credit financings, traditional and structured equity and debt private investments in public companies (PIPEs), debt-for-equity exchanges, and a variety of cross-border securities offerings. Should also have experience advising clients on U.S. federal securities law matters and disclosure requirements, as well as other general corporate law matters. Experience working in the business/corporate group of a large law firm is essential. Experience working with Canadian or other foreign public companies is a plus. Should have one U.S. Bar admission.

The candidate should have excellent communication and organizational skills and be able to work in a very challenging, fast-paced, and sophisticated work environment. Must have strong communication and writing skills. Top academic credentials are essential.
