Dallas office of a BCG Attorney Search Top Ranked Law Firm seeks mid-senior level corporate finance associate attorney with 6 years of experience. The candidate will be drafting of various business and corporate agreements and documents, including purchase and sale agreements, buy-sell agreements, investor rights agreements, joint venture and LLC operating agreements, etc., and related schedules, securities filings, stock offerings, private placement memorandums, public offerings, and corporate minutes. Will be providing guidance and expert advice to clients on business transactions, mergers, acquisitions, stock purchases, stock issuance, initial public offerings, stock repurchases, federal and state securities law compliance and filings, joint ventures and corporate partnering transactions, structuring compensatory equity arrangements, corporate governance, business "divorces" and other disputes and conducting internal investigations. Law Review experience is preferred. Should be in good standing with the TX State Bar.
The candidate should have solid writing skills. Ability to be strategic and analytical is essential. Must be ranked top 25% from a top law school. Strong academics are required.
