Corporate and Securities Attorney

Los Angeles office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate and securities attorney with 7+ years of experience working with technology companies on corporate and securities matters. The candidate will advising clients on various entities, such as corporations and limited liability companies. Will be drafting corporate-related documents, such as bylaws, minutes, consents and founders agreements. Advising clients on various structures to raise money. Drafting investment-related documents, such as convertible notes and subscription agreements. Due diligence reviewing clients structure, contracts, and more. Assisting clients with state and federal filings. Assisting clients with legal strategy. Develop and maintain strong relationships with potential and existing clients. Provide exceptional customer service. Must have experience working with fast-growing technology companies. Should have experience advising clients on investment structures. Must have experience drafting investment-related documents. Should have experience making relevant state and federal filings. Must be licensed in California. A book of business, or proven track record of building a book of business, is a plus.

The candidate should have a proven ability to handle confidential information with discretion. Must have proven ability to handle complex matters, with multiple initiatives going on simultaneously. Should have entrepreneurial, business minded and enjoys working in a fast-paced environment. Must have detail-oriented, organized, proactive and has strong communication skills. Should be a self-starter and loves the freedom to work independently and remotely, but has the self-discipline to stay focused on the greater goals of the law firm. Possesses strong interpersonal skills and the ability to develop lasting business relationships.
