Job Title:
Private Funds Associate Attorney

Job Overview:
A well-established law firm in San Francisco, CA, is seeking a mid-level Associate to join its dynamic investment management team. This role centers on the full spectrum of private fund structuring, operations, and compliance support. The ideal candidate will contribute to high-profile fund formations spanning multiple asset classes and work directly with clients ranging from emerging managers to globally recognized investment firms.

Duties:

  • Draft and negotiate key fund documents, including:

    • Offering memoranda

    • Limited partnership and operating agreements

    • Subscription and advisory agreements

    • Side letters and placement arrangements

    • Legal opinions and regulatory filings

  • Guide fund formation transactions from initial strategy through closing

  • Oversee investor negotiations and coordinate subscription processes

  • Provide legal analysis and strategic input on Investment Advisers Act matters and securities law exemptions

  • Interact directly with clients and external stakeholders throughout the fundraising lifecycle

  • Assist in ensuring compliance with Regulation D and Investment Company Act exclusions

Requirements:

  • 3-6 years of focused experience in private fund formation or related corporate legal work

  • Strong understanding of fund structuring, investment regulations, and compliance matters

  • Proven track record managing multiple workstreams and client deliverables

  • Ability to collaborate across teams and communicate clearly with clients and investors

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Active membership in at least one U.S. State Bar (California admission preferred)

Skills:

  • Deep familiarity with the regulatory framework applicable to private funds

  • Strong drafting and negotiation capabilities

  • Exceptional organizational skills and attention to detail

  • Ability to manage deadlines and balance competing priorities

  • Client-service mindset and comfort working in a fast-paced legal environment
