Transactional Associate Attorney

Chicago office of a BCG Attorney Search Top Ranked Law Firm seeks transactional associate attorney with 4-6 years of substantive experience with corporate and M&A, private equity, commercial lending and real estate transactions. The candidate will conduct due diligence, compliance and contract reviews. Will draft corporate formation documents and other supporting documentation for transactions including disclosure schedules, corporate board resolutions and diligence matrices. Review, draft and negotiate commercial contracts, memoranda and other documentation. Should have experience with contract review, trademark and copyright. Must possess a working knowledge and understanding of corporate transactional work in M&A, private equity, commercial real estate and commercial loan transactions.

The candidate should have ability to take initiative, exercise professional discretion and independent judgement. Must possess strong written and verbal communication skills including the ability to present legal issues in a clear and concise manner. Requires superb attention to detail and the ability to meet tight deadlines.
