Senior Corporate Securities Associate Attorney

Rockville Centre office of a BCG Attorney Search Top Ranked Law Firm seeks a senior corporate securities associate attorney with 3+ years of law firm experience. The candidate will have a heavy emphasis on corporate transactions, general corporate matters, and non-public securities offerings. Will have regular client contact and project management. Handling all aspects of M&A transactions. Drafting a variety of corporate documents relating to privately held businesses, including complex operating agreements/shareholders agreements, SaaS agreements, joint venture agreement, and general commercial documents. Exposure to private funds and non-public company securities offerings, and drafting related documents, including PPM, subscription agreements and complex operating agreements. Writing short-form and long-form articles, compiling materials for presentations, and participating in marketing of the Firms Corporate and Securities practice. Familiarity with the significant aspects of M&A transactions, including due diligence, drafting transaction documents, and preparing and reviewing schedules essential. Experience with non-public securities offerings and private fund structuring needed. Familiarity with all aspects of Microsoft Office, with a particular emphasis on Word, Excel, and PowerPoint; mastery of Microsoft Office preferred. Experience drafting general corporate documents, contracts, transactional agreements essential. Tax knowledge a plus. Experience with Clio a plus. Excellent drafting skills essential.
