The ideal candidate must have experience in the following areas: Sophisticated law firm experience on complex corporate or finance matters with an emphasis on middle market private target mergers and acquisitions and private equity transactions; managing complex mergers and acquisitions projects and time lines, interacting with clients, corporate deal teams, subject matter experts and junior resources; drafting and negotiating merger, equity purchase and asset purchase agreements and ancillary agreements and documentation; managing and summarizing legal due diligence in mergers and acquisitions transactions including preparing initial documents, conducting diligence calls and supervising junior attorneys performing due diligence. Should have significant substantive mergers and acquisitions experience and expertise, attention to detail and ability to interact successfully with clients, investment bankers, commercial lenders, and other advisors, in order to manage the process of signing and closing an mergers and acquisitions transaction.
