Atlanta office of our client seeks business and corporate transactions attorney with 3+ years of experience. The ideal candidate must have significant hands-on experience working with investors and early-stage ventures in various mergers, acquisitions, and other complex business and corporate transactions, conducting and managing due diligence, drafting and negotiating deal documentation and coordinating closings. Prior agreement experience should include drafting and negotiating Principal Transaction Documents, Operating Agreements, Stock and Asset Purchase and Sale Agreements, Employment Agreements, Security Agreements, Term Sheets, Letters of Intent, Manufacturing and Supply Agreements, Joint Development Agreements, and other complex business agreements. Must have prior legal experience in a law firm with private equity, venture capital and securities. Additional experience in complex business litigation, trademarks and branding, or a scientific or technical background are especially encouraged.
