Capital Markets/Securities Associate Attorney

Charlotte office of a BCG Attorney Search Top Ranked Law Firm seeks a capital markets/securities associate attorney with 2-4 years of experience at a large law firm with a sophisticated capital markets/securities practice. The candidate will work on capital markets transactions, securities regulation issues, corporate governance, and general business matters. Preferred experience will include advising clients in capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt, convertible debt, offerings of equity, PIPE transactions, ATM offerings, initial public offerings, price placements, and liability management transactions. Helpful experience will also include advising and assisting public companies on regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports, and NYSE and Nasdaq rules. Should have an excellent academic record and strong communication skills.
