Boston office of a BCG Attorney Search Top Ranked Law Firm seeks corporate staff attorney with 3+ years of experience. The candidate will work directly with the firms internal team, and the clients business team, including fund managers, asset managers, finance and compliance teams, and local counsel in Latin America, Australasia, and other countries to manage portfolio company compliance requirements and other general corporate matters. Will draft corporate resolutions relating to annual financial statements, share issuances, distributions, director appointments, powers of attorney, and other similar corporate actions for portfolio companies based throughout the world. Support the firm legal team as needed with the documentation required in connection with acquisitions and dispositions, including virtual data room support. Oversee the maintenance of corporate records, including working with the client and local registered agents to ensure completeness of records. Work with the legal team, client, and local counsel to maintain various deadline/task lists, status reports, compliance calendars, etc., and ensure deadlines are met. Prepare and maintain complex corporate structure charts. Perform additional tasks as requested by the client and legal team. Must have experience advising and supporting clients in respect of their ongoing operations and related day-to-day corporate and compliance matters. Experience with mergers and acquisitions, fund formation, and/or cross-border matters is also beneficial. Fluency in Spanish and/or Brazilian Portuguese is required. Experience with corporate law is essential. Experience interacting with clients and managing or escalating questions or issues as appropriate and needed. Experience working with companies that have cross-border operations is a plus. Must be admitted to practice in Massachusetts.

The candidate must be a team player yet capable of working independently in a fast-paced environment and able to manage multiple and sometimes competing demands. Juris Doctorate from an accredited law school is essential. Should be highly detail-oriented, organized, and efficient. Must have strong academic history and excellent written and verbal communication skills. Must have the willingness and ability to take on responsibility, multi-task, and work in a fast-paced environment; strong time management skills. Excellent legal and business judgment is essential. Sense of urgency, with the ability to identify and articulate issues, offer solutions, and follow through to the resolution needed. Should have strong capacity to manage own performance independently and effectively.
