A law firm seeks a highly skilled Corporate M&A and Private Equity Associate to join its Washington, DC, office. This role is tailored for an attorney with a strong foundation in transactional law and a proven ability to navigate complex mergers and acquisitions, as well as private equity transactions. The ideal candidate will bring expertise, analytical precision, and a collaborative approach to delivering exceptional legal services.

Duties:

  • Structure, negotiate, and manage mergers, acquisitions, and private equity transactions.
  • Draft and review key transaction documents, including purchase agreements, shareholder agreements, and related contracts.
  • Collaborate with clients and multidisciplinary teams to develop strategic solutions tailored to specific business objectives.
  • Conduct due diligence and identify potential legal risks, ensuring compliance with relevant laws and regulations.
  • Provide legal counsel on corporate governance and other corporate matters.
  • Lead and participate in negotiations on behalf of clients.

Requirements:

  • 3 to 7 years of hands-on experience in mergers, acquisitions, and private equity transactions.
  • Demonstrated ability to handle complex transactional work in a fast-paced environment.
  • Strong written and verbal communication skills, including exceptional legal drafting and analytical abilities.
  • A collaborative mindset with the ability to manage multiple priorities effectively.

Education:

  • Juris Doctor degree from an ABA-accredited law school.

Certifications:

  • Admission to the bar in Washington, DC, or eligibility to obtain admission promptly.

Skills:

  • Advanced knowledge of transactional law, corporate structures, and regulatory compliance.
  • Detail-oriented with strong problem-solving skills.
  • Ability to work independently while maintaining a team-focused approach.
  • Proficiency in managing client relationships and delivering high-quality legal services.
