The candidate will handle day-to-day needs of clients. Must have extensive experience representing issuers in public and private offerings of debt and equity securities, interfacing with the SEC and other regulators, counseling public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, as well as preparation of Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements.
