Job Overview:
A highly regarded law firm is seeking a mid-level Associate Attorney to join its Mergers & Acquisitions team in the Strategic Transactions Group, based in the Boston office. This role is ideal for an attorney with 4–6 years of experience handling complex M&A matters for public and private companies. The position offers the opportunity to work on high-profile domestic and cross-border deals, providing legal guidance throughout the transaction lifecycle, from due diligence to closing.

Location:

  • Boston, Massachusetts

Duties:

  • Conduct due diligence for M&A transactions, including reviewing financial statements, contracts, and corporate records

  • Draft and negotiate key transactional documents such as merger agreements, stock and asset purchase agreements, confidentiality agreements, and ancillary documents

  • Manage the due diligence process and collaborate with deal teams

  • Provide strategic legal advice to clients on regulatory, structural, and corporate governance matters

  • Conduct legal research and analysis related to corporate transactions

  • Collaborate with internal and external stakeholders to ensure compliance with legal and regulatory requirements

  • Prepare and review legal opinions, memoranda, and presentations for clients and senior attorneys

  • Monitor legal and industry trends affecting M&A structures and strategy

Requirements:

  • 4–6 years of experience as an M&A associate at a large AmLaw 100 law firm

  • Proven experience representing both public and private companies in complex transactions, joint ventures, and governance matters

  • Demonstrated ability to draft and manage acquisition-related documents independently

  • Strong understanding of market trends and evolving deal terms

  • Ability to manage multiple responsibilities in a fast-paced, team-driven environment

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in Massachusetts (required)

  • Member in good standing with the Massachusetts Bar

Skills:

  • Exceptional drafting and negotiation skills

  • High attention to detail and strong organizational skills

  • Strong analytical and problem-solving capabilities

  • Excellent verbal and written communication

  • Ability to work independently while contributing to collaborative team efforts

  • Familiarity with current trends in M&A and corporate law
