Washington, D.C. office of a BCG Attorney Search Top Ranked Law Firm seeks associate attorney preferably with 2-7 years of private funds-related legal experience. The candidate will work on a variety of matters related to the formation of private funds, primarily for clients in the digital assets space. Will work in an emerging, constantly evolving area of the law. Draft and negotiate documents in connection with the formation of investment funds and compliance matters, primarily focused on digital assets. Advise on corporate governance matters such as fund structure, operations of the clients funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers. Advise on crypto-specific questions regarding investments in initial coin offerings (ICOs), non-fungible tokens (NFTs), simple agreement for future tokens (SAFTs) and other coin and token issues, and in areas related to blockchain, such as decentralized finance (DeFi) and mining/staking. Negotiate side letters and arrangements with service providers. Advise on cryptocurrency custody and trading arrangements to ensure compliance with regulatory requirements and market best practices. Must have experience drafting and negotiating documents in connection with the formation of private investment funds. Experience advising fund sponsors on compliance and regulatory issues, specifically in the area of cryptocurrency, blockchain and digital assets desired. Must preferably have familiarity with a wide range of alternative investment strategies.

The candidate should have a J.D. degree from an accredited law school or equivalent. Must have excellent verbal and written communication skills. Should have excellent interpersonal and client service skills. Must have ability to thrive in a high-paced environment. Should have ability to work both independently and as part of a team.
