Associate Attorney

New York City office of a BCG Attorney Search Top Ranked Law Firm seeks an associate attorney with 4-6 years of legal work experience handling public company M&A, private company M&A and/or private equity M&A work in a range of transactions, including acquisitions, joint ventures and corporate governance and currently working at a large AmLaw 100 law firm. The candidate will represent public and private companies in a variety of transactions and guide these companies in their general corporate governance matters. Responsible for drafting primary and ancillary acquisition transaction documents and managing the due diligence process for these M&A transactions, including drafting due diligence memorandums and analyzing target company agreements and documents. Lead due diligence teams. Must also have a firm understanding of both the industry and evolving market terms, superlative drafting experience, excellent academic credentials, and can be flexible to work within teams and manage parts of transactions independently. Admission to the New York State Bar is required or eligibility to obtain admission promptly.
