San Francisco office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate deputy general counsel with 7+ years of legal experience and a corporate and/or transactional background. The candidate will report to the firm's General Counsel and assist in managing the legal affairs of the firm and strategic planning for risk management, with a particular emphasis on corporate issues, regulations, and engagements. Will advise attorneys and administration on regulatory compliance and proposed business/legal arrangements. Consult with New Business Intake team and partners regarding corporate and transactional conflicts of interest, intake issues, and engagement terms as needed. Assist General Counsel and Deputy General Counsel with the administration of risk management policies. Assist in responding to the auditor, insurance, and client information requests, and responses to Requests for Proposals and similar. Advise on reporting and disclosure matters (responses to client audit letters, opinion letters, and confidentiality issues). Work with non-US risk resources and personnel to advise firm attorneys and staff on regulatory matters, including Solicitor Regulatory Authority regulations, Paris Bar rules, Hong Kong Law Society, Republic of China MOJ rules, PRC positions, Singapore legal regulatory authority, and other regulations of foreign firms. Monitor firm's Political Action Committee, including contribution and lobbying filing compliance. Oversee the firm's corporate issues (partnership registration and regulatory filings). Provide interpretations of the partnership agreement and UK and EU Members' Agreements. Prepare and administer the approval of amendments. Interpret other charter documents for the firm's entities: OTLO, PRC representative offices, Taiwan. Assist in governance matters for related entities. Maintain schedule of director and other committee terms. Assist in advising Nominating Committee on the board election process, conduct elections of officers, directors of firm's entities. Assist in advising Annual Committee on processes. Assist with creation and keeping of minutes. Manage operations of Vendor Management Office (oversee negotiation and cataloging of Firm Contracts). Review and approve amendments to pension plans. Oversee the firm's corporate/partnership structure and advise on agreements governing the relationship of the firm and related entities, and reorganizations of related entities. Assist with the process of opening and closing offices. Oversee the firm's subsidiary structure and relationships. Attend Finance and Audit Committee meetings and assist in the implementation of policies and recommendations. Assist in the resolution of foreign tax audits. Assist in the audit of the firm's financial statements, particularly loss contingencies and other footnote disclosures. Assist in the evaluation of merger proposals. Maintain registrations of all entities. Assist in the development and implementation of strategic plan goals and specific projects for risk management.

The candidate must have a J.D. degree. The ability to communicate effectively and diplomatically with all levels of the firm staff and attorneys is required. Should have a creative and practical approach to solving problems that is informed by the firm's strategic, business, and professional needs. Must be team-oriented, with excellent interpersonal, communication, counseling, organizational and analytical skills, as well as be detail-oriented. Must be willing to work varied hours as needed (covering multiple time zones). Some travel is required.

Salaries are in line with other top Bay Area firms, and the firm provides a $10,000 bonus for all lawyers who bill at least 1,950 hours, with additional money based on three separate billable-hour levels above 1,950.
